10.4Ansprüche wegen Sachmängeln verjähren in zwölf Monaten ab Übergabe. Das gilt nicht in den Fällen des § 10.2. Dort gelten die gesetzlichen Verjährungsfristen.

§ 11 Haftung

This English version is provided for convenience only. The German version is legally binding (§ 16.3). Terms of German law are given in brackets where useful.

§ 1 Scope, contracting party and definitions

1.1These General Terms and Conditions (“Terms”) apply to the use of the auction platform operated by Jenne, Zehner Safety Car GbR (“Safety Car”) at auktion.safetycar.net (“Platform”) and to all purchase contracts for vehicles that Safety Car concludes with dealers on this basis.

1.2The Platform is directed exclusively at entrepreneurs within the meaning of Section 14 German Civil Code (BGB) who trade in motor vehicles on a commercial basis (“Dealers”). Consumers within the meaning of Section 13 BGB are excluded from participation. The Dealer warrants that it acts in the course of its commercial activity when registering and when placing any bid.

1.3Deviating, conflicting or supplementary terms of the Dealer do not become part of the contract unless Safety Car expressly agrees to their application in text form. This also applies if Safety Car performs with knowledge of such terms.

1.4In these Terms:

1.5The obligations under Section 312i(1) sentence 1 nos. 1 to 3 and sentence 2 BGB do not apply pursuant to Section 312i(2) sentence 2 BGB.

§ 2 Role of Safety Car and business model

2.1Safety Car purchases used vehicles in its own name and for its own account and resells them to Dealers. Safety Car is itself the seller vis-à-vis the Dealer and does not act as an agent or broker.

2.2The purchase contract for a vehicle is concluded exclusively between Safety Car and the Dealer. No contractual relationship arises between the Seller and the Dealer.

2.3As a rule, vehicles are auctioned before Safety Car has acquired them from the Seller. Safety Car therefore accepts a Bid only once the purchase from the Seller is secured (§ 5, § 6). The relationship between Safety Car and the Seller is governed by a separate purchase agreement.

2.4The Dealer has no claim to the holding of an Auction, to a particular vehicle offer or to a particular price.

§ 3 Registration, dealer account and user relationship

3.1Participation requires registration and approval by Safety Car. The Dealer shall provide all requested information completely and truthfully and, upon request, submit evidence, in particular a trade registration or register extract, proof of identity of its authorised representative and – where available – its VAT identification number. Safety Car may have the VAT identification number confirmed by the German Federal Central Tax Office (Bundeszentralamt für Steuern).

3.2There is no claim to approval.

3.3The Dealer shall keep its access data secret and protect it against access by third parties. Bids placed via its account are attributed to the Dealer unless it is not responsible for the misuse. The Dealer shall notify Safety Car without undue delay of any suspected misuse and of any changes to its registration data.

3.4Safety Car may set a bidding limit for each Dealer. The bidding limit is the total of all amounts from the Dealer’s highest Bids that are still within the binding period and from purchase contracts not yet paid in full. Safety Car sets the bidding limit individually for each Dealer and may adjust it at its reasonable discretion, in particular after fully completed purchases. The applicable bidding limit is displayed in the dealer account. The Platform does not accept Bids exceeding the bidding limit. If such a Bid is nevertheless recorded, Safety Car is not obliged to take it into account.

3.5The user relationship runs for an indefinite period. Either party may terminate it at any time in text form. The right to terminate for good cause remains unaffected. Bids within a running binding period and purchase contracts already concluded are processed in accordance with these Terms.

3.6If the Dealer breaches material obligations under these Terms, Safety Car may temporarily block the dealer account. In the event of serious or repeated breaches, Safety Car may terminate the user relationship for good cause. When choosing the measure, Safety Car takes the Dealer’s legitimate interests into account. § 13 remains unaffected.

§ 4 Auction procedure

4.1Safety Car lists the vehicle on the Platform with vehicle data, photographs, the Inspection Report and a starting price.

4.2The start and end of each Auction are displayed on the Platform. Auctions usually take place on Working Days between 5:00 p.m. and 8:00 p.m. (German time).

4.3If a Bid is placed shortly before the end of an Auction, the Auction is automatically extended by the period displayed on the Platform.

4.4Bids are only possible in the displayed minimum increment. Bids are displayed anonymously to other Dealers.

4.5Safety Car may end an Auction early, withdraw a vehicle or repeat an Auction for objective reasons. Objective reasons include in particular technical faults, incorrect information about the vehicle, damage to the vehicle or failure of the purchase from the Seller. The Dealer only has claims arising from this in the event of intent or gross negligence on the part of Safety Car.

§ 5 Bids and binding period

5.1Each Bid is a binding offer by the Dealer to conclude a purchase contract for the respective vehicle at the amount bid and on the terms of these Terms. A Bid cannot be withdrawn. Statutory rights of rescission (Anfechtung) remain unaffected.

5.2The end of the Auction is not an acceptance by the auctioneer (Zuschlag) within the meaning of Section 156 BGB. No purchase contract is concluded merely by the end of the Auction.

5.3The Dealer who has placed the highest valid Bid at the end of the Auction is bound by that Bid until the end of the third Working Day after the end of the Auction (acceptance period pursuant to Section 148 BGB). All other Bids lapse at the end of the Auction.

5.4Safety Car is not obliged to accept the highest Bid. This applies in particular if the Seller does not accept Safety Car’s purchase offer. If no acceptance takes place within the binding period, the Bid lapses. Safety Car will inform the Dealer without undue delay as soon as it is clear that the Bid will not be accepted.

5.5Safety Car may reject or delete Bids that were obviously placed by mistake, abusively or in breach of these Terms.

§ 6 Conclusion of contract

6.1The purchase contract is concluded when Safety Car accepts the Bid within the binding period. Safety Car declares acceptance in text form, usually by an order confirmation by email or via the Platform.

6.2Safety Car may ask the Dealer to confirm the Bid in text form (“Bid Confirmation”). The Bid Confirmation serves documentation purposes only. It is not a prerequisite for the conclusion of the contract and does not change its content.

6.3Side agreements, amendments and supplements require text form. Individual agreements in a specific case take precedence (Section 305b BGB).

§ 7 Purchase price, VAT, payment and retention of title

7.1The purchase price corresponds to the accepted Bid. Only ancillary costs that have been separately agreed or arise under these Terms are added, e.g. for transport organised by Safety Car or for storage fees.

7.2Safety Car generally purchases vehicles from private individuals. It therefore generally sells them under the margin scheme pursuant to Section 25a German VAT Act (UStG). In this case, Bids are final prices. The invoice does not show VAT separately and contains the note “Gebrauchtgegenstände/Sonderregelung” (second-hand goods/special arrangements, Section 14a(6) UStG). The Dealer is not entitled to deduct input VAT. The margin scheme also applies if the vehicle is transported to another member state of the European Union. A VAT-exempt intra-Community supply is not possible in this case (Section 25a(7) no. 3 UStG).

7.3If a vehicle is expressly marked as “standard VAT” (regelbesteuert) in the Auction, the following applies:

7.4Payment is processed via an escrow service (currently Paylax). The Dealer shall pay the full purchase price into the escrow account notified by Safety Car within two Working Days of conclusion of the contract. Payment to Safety Car is made in accordance with the terms of the escrow service. The fees of the escrow service are borne by Safety Car.

7.5Cash payments are not accepted.

7.6The vehicle is only handed over once the full purchase price has been received by the escrow service. The vehicle remains the property of Safety Car until full payment. The registration certificate Part II (Zulassungsbescheinigung Teil II) is only handed over after full payment.

7.7The Dealer may only set off undisputed or legally established claims. It may only exercise a right of retention on the basis of claims arising from the same contractual relationship.

7.8In the event of default in payment, the Dealer owes default interest of nine percentage points above the base interest rate (Section 288(2) BGB) and the lump sum under Section 288(5) BGB. Safety Car reserves the right to claim further damages.

§ 8 Handover, collection, passing of risk and storage

8.1Handover takes place at the Pick-up Location. Safety Car informs the Dealer of the Pick-up Location and possible collection dates after receipt of payment. The Dealer collects the vehicle itself or has it collected by a carrier commissioned by it. The carrier identifies itself with a written collection order from the Dealer.

8.2A handover report recording the mileage and the externally visible condition is prepared at handover. The carrier signs the report on behalf of the Dealer.

8.3The Dealer shall collect the vehicle within three Working Days of receipt of payment. After expiry of this period, Safety Car may charge a storage fee of EUR 15 per commenced calendar day. The Dealer may prove that no or lower costs were incurred. Safety Car reserves the right to claim further damages, in particular costs vis-à-vis the Seller; the storage fee is credited against these. If the Dealer does not collect the vehicle even after expiry of a grace period of seven calendar days, § 13.1 applies.

8.4The risk of accidental loss and accidental deterioration passes to the Dealer upon handover. Handover also includes handover to the carrier commissioned by the Dealer. If the Dealer is in default of acceptance, the risk passes upon occurrence of the default.

8.5If Safety Car organises transport at the Dealer’s request, it does so in the name and for the account of the Dealer. The risk then passes upon handover to the carrier (Section 447 BGB). Safety Car is only liable for the careful selection of the carrier.

8.6Vehicles are generally handed over deregistered. Licence plates are only handed over if expressly agreed.

§ 9 Vehicle condition, Safety Car-Check and agreed quality

9.1Only used vehicles with wear and tear consistent with their age and mileage are sold.

9.2The Safety Car-Check is not an expert appraisal. It is a documented recording of the condition at the time of inspection based on defined inspection points. It contains no statements on the value of the vehicle and no statements on the future durability of individual components. Information on the vehicle history is based on the Seller’s statements and the documents presented. Safety Car passes this information on as such.

9.3Only the values expressly documented as measured or ascertained in the Inspection Report are deemed agreed quality (Section 434(2) sentence 1 no. 1 BGB). The version of the Inspection Report published at the end of the Auction is decisive. The values relate to the time of inspection. Measurement tolerances stated in the Inspection Report form part of the quality. Characteristics that were not inspected or cannot be inspected are not subject to the quality agreement.

9.4Safety Car does not give any guarantee within the meaning of Sections 276(1), 443 BGB, including by way of the Inspection Report or by designations such as “inspected” or “Safety Car-Check”.

9.5The mileage is the odometer reading taken at the time of inspection. The plausibility checks described in the Inspection Report only constitute quality to the extent documented there. A specific actual total mileage is only agreed if the Inspection Report expressly states it as ascertained.

9.6If the vehicle deviates from the quality under § 9.3 at the time the risk passes, the statutory rights (Sections 437 et seq. BGB) apply with the following provisos:

§ 10 Material defects

10.1With the exception of rights arising from a deviation from the agreed quality under § 9, the Dealer’s claims and rights in respect of material defects are excluded.

10.2The exclusion under § 10.1 does not apply:

10.3The Dealer or its carrier shall examine the vehicle at handover. The Dealer shall notify obvious defects and recognisable deviations from the Inspection Report in text form within five Working Days of handover. Hidden defects shall be notified within five Working Days of their discovery. If timely notification is not given, rights in respect of that defect are excluded, unless Safety Car fraudulently concealed the defect. Section 377 German Commercial Code (HGB) remains unaffected where applicable.

10.4Claims for material defects become time-barred twelve months after handover. This does not apply in the cases of § 10.2. The statutory limitation periods apply there.

§ 11 Liability

11.1Safety Car is liable without limitation for intent and gross negligence, for damage resulting from injury to life, body or health, in the event of fraudulent concealment of a defect and under the German Product Liability Act.

11.2In the event of simple negligence, Safety Car is only liable for the breach of a material contractual obligation. A material obligation is one whose fulfilment makes the proper performance of the contract possible in the first place and on whose fulfilment the Dealer may regularly rely. In this case, liability is limited to the damage typical for the contract and foreseeable at the time the contract was concluded.

11.3Safety Car does not owe any particular availability of the Platform. Safety Car may interrupt operation for maintenance work and will announce maintenance in advance where possible.

11.4The above limitations of liability also apply in favour of Safety Car’s partners, legal representatives and vicarious agents.

§ 12 Dealer obligations, transport abroad and taxes

12.1If a vehicle is exceptionally handed over while still registered, the Dealer shall re-register or deregister it within five Working Days of handover. It shall provide evidence of this to Safety Car upon request. Until then, the Dealer shall indemnify Safety Car and the Seller against costs and third-party claims arising from the use of the vehicle after handover.

12.2For vehicles with standard VAT within the meaning of § 7.3, the Dealer shall cooperate in providing evidence of the intra-Community supply. In particular, the Dealer shall:

12.3All taxes, duties and registration costs incurred in the country of destination are borne by the Dealer, in particular the Polish excise duty (akcyza).

12.4The Dealer is itself responsible for resale to consumers. The statutory obligations incumbent on it in this regard do not affect its relationship with Safety Car.

§ 13 Breaches of duty, liquidated damages and non-circumvention

13.1If the Dealer does not pay the purchase price into escrow on time or does not collect the vehicle, Safety Car may, after an appropriate grace period has expired without result, withdraw from the contract and claim damages in lieu of performance. Safety Car may claim 10% of the purchase price as liquidated damages. The Dealer may prove that no damage or substantially lower damage was incurred. Safety Car may prove higher damage.

13.2For each vehicle offered to the Dealer on the Platform, a non-circumvention obligation applies until twelve months after the end of the relevant Auction. During this period, the Dealer shall not acquire the vehicle from the Seller directly or via third parties, nor act as intermediary for it, unless the acquisition takes place via Safety Car. The obligation does not apply if the Dealer proves that it was in contact with the Seller regarding this vehicle before it was listed on the Platform.

13.3If the Dealer culpably breaches § 13.2, it owes a contractual penalty for each vehicle concerned. Safety Car determines the amount at its reasonable discretion; it amounts to a maximum of EUR 5,000. In the event of a dispute, the competent court reviews its appropriateness. The contractual penalty is credited against any claim for damages.

13.4In the event of repeated or serious breaches, § 3.6 applies. Purchase contracts already concluded remain unaffected.

§ 14 Confidentiality, data and rights of use

14.1The Dealer may use Inspection Reports, photographs and other documents from Safety Car only for its own purchasing decisions and for the resale of the vehicle purchased from Safety Car. It shall only pass them on in full and unaltered.

14.2Use of the name and logo “Safety Car” and references to the business relationship require prior consent in text form.

14.3The following are prohibited:

14.4The Dealer only receives personal data of the Seller to the extent necessary for collection and registration. This applies in particular to the pick-up address and contact details and to the information in the vehicle documents. The Dealer processes this data exclusively for these purposes and in accordance with the GDPR. In particular, it does not use the data to contact the Seller for other purposes.

14.5Safety Car processes personal data in accordance with the privacy policy.

§ 15 Amendments to these Terms

15.1Safety Car may amend these Terms with effect for future Auctions if there is an objective reason for doing so. Objective reasons include in particular changes in legislation, case law, changes to the auction procedure or technical developments of the Platform. Safety Car notifies the Dealer of the amendments in text form at least four weeks before they take effect.

15.2After they take effect, the Dealer can only bid again once it has expressly agreed to the amended Terms on the Platform. If the Dealer does not agree, either party may terminate the user relationship in accordance with § 3.5.

15.3Bids already placed and purchase contracts already concluded continue to be governed by the Terms incorporated at the time the Bid was placed.

§ 16 Final provisions

16.1The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

16.2The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms and the contracts concluded on their basis is the registered office of Safety Car. For Dealers established in another member state of the European Union, this constitutes an agreement on jurisdiction pursuant to Article 25 of Regulation (EU) No 1215/2012. Safety Car may also sue the Dealer at the Dealer’s general place of jurisdiction.

16.3The language of the contract is German. Translations of these Terms, e.g. into Polish or English, serve to facilitate understanding. In the event of discrepancies, the German version prevails.

16.4Should any provision of these Terms be or become invalid in whole or in part, the validity of the remaining provisions remains unaffected. The invalid provision is replaced by the statutory provisions (Section 306(2) BGB).

Niniejsza polska wersja służy wyłącznie lepszemu zrozumieniu. Wiążąca jest wersja niemiecka (§ 16.3). Tam, gdzie jest to pomocne, w nawiasach podano niemieckie pojęcia prawne.

§ 1 Zakres stosowania, strona umowy i definicje

1.4W rozumieniu niniejszych OWH:

1.5Obowiązki wynikające z § 312i ust. 1 zd. 1 pkt 1–3 i zd. 2 BGB nie mają zastosowania zgodnie z § 312i ust. 2 zd. 2 BGB.

§ 2 Rola Safety Car i model biznesowy

§ 3 Rejestracja, konto dealera i stosunek korzystania z Platformy

3.3Dealer zachowuje swoje dane dostępowe w tajemnicy i chroni je przed dostępem osób trzecich.

Prawo do wypowiedzenia z ważnych powodów pozostaje nienaruszone.

§ 5 Oferty i okres związania

6.3Porozumienia dodatkowe, zmiany i uzupełnienia wymagają formy dokumentowej. Indywidualne uzgodnienia w konkretnym przypadku mają pierwszeństwo (§ 305b BGB).

§ 7 Cena, podatek VAT, płatność i zastrzeżenie własności

6 UStG).

5 BGB. Safety Car zastrzega sobie prawo dochodzenia dalszej szkody.

§ 8 Wydanie, odbiór, przejście ryzyka i postój

§ 9 Stan pojazdu, Safety Car-Check i uzgodnione właściwości

§ 12 Obowiązki Dealera, wywóz i podatki

12.3Wszystkie podatki, opłaty i koszty rejestracji powstające w kraju przeznaczenia ponosi Dealer, w szczególności polski podatek akcyzowy.

§ 13 Naruszenia obowiązków, ryczałtowe odszkodowanie i zakaz obchodzenia

§ 14 Poufność, dane i prawa do korzystania

14.1Dealer może wykorzystywać Protokoły kontroli, zdjęcia i inne dokumenty Safety Car wyłącznie do własnych decyzji zakupowych oraz do dalszej sprzedaży pojazdu kupionego od Safety Car. Przekazuje je dalej wyłącznie w całości i bez zmian.

14.4Dealer otrzymuje dane osobowe Sprzedającego wyłącznie w zakresie niezbędnym do odbioru i rejestracji pojazdu. Dotyczy to w szczególności adresu odbioru i danych kontaktowych oraz danych zawartych w dokumentach pojazdu. Dealer przetwarza te dane wyłącznie w tych celach i zgodnie z RODO.

W odniesieniu do Dealerów z siedzibą w innym państwie członkowskim Unii Europejskiej stanowi to umowę jurysdykcyjną w rozumieniu art.

2 BGB).
